TERMS & CONDITIONS OF TALENTRADE PLATFORM

1. DEFINITIONS AND INTERPRETATIONS

1.1 In these Terms & Conditions, the following terms shall have the following meanings:

"Account" means a User's personal account on the Platform.

"Artist" means a natural person or entity who has licensed their intellectual property to Freecords B.V. for representation on the Platform.

"Content" means all information, text, images, graphics, music, software, audio, video, and other materials featured on the Platform.

"Freecords B.V." (also referred to as "we," "us," or "our") means the private limited company incorporated under the laws of the Netherlands, having its registered office at Herengracht 420, 1017 BZ Amsterdam, registered with the Dutch Chamber of Commerce under number 76319415.

"In-App Game Tokens" means the virtual tokens purchased with real currency that can be used to acquire Talents on the Platform.

"Marketplace" means the virtual environment within the Platform where Users can trade Talents.

"Platform" means the TalenTrade gaming and entertainment platform operated by Freecords B.V., accessible via website, mobile application, or any other means.

"Rewards" means the virtual benefits received by Users for participation in the Platform's activities, which have no real-world monetary value.

"Talents" means the in-game virtual items representing an Artist's likeness based on IP licensing agreements, which can be traded on the Platform for entertainment purposes.

"Terms" means these Terms & Conditions.

"User" (also referred to as "you" or "your") means any natural person or entity who has registered an Account on the Platform.

1.2 In these Terms, unless the context requires otherwise:

• (a) Headings are for convenience only and do not affect interpretation;
• (b) Words importing the singular include the plural and vice versa;
• (c) A reference to a person includes an individual, company, or other entity;
• (d) The word "including" means "including but not limited to."

2. SERVICE DESCRIPTION

2.1 Gaming and Entertainment Nature. The Platform is exclusively a gaming and entertainment platform that allows Users to participate in a virtual trading experience involving Artist Talents. The Platform is NOT a financial investment service, financial exchange, securities marketplace, or investment advisory service. All activities on the Platform are for entertainment purposes only.

2.2 No Financial Value. Talents traded on the Platform have no real-world financial value, do not represent any ownership stake in Artists or their works, and cannot be exchanged for real currency except as explicitly provided in these Terms through designated cryptocurrency conversion options.

2.3 Global Accessibility. The Platform is accessible to Users globally, subject to eligibility requirements and applicable local laws. However, the Platform is operated under Dutch law, and all activities on the Platform are deemed to take place in the Netherlands regardless of the User's location.

2.4 License to Use. Subject to your compliance with these Terms, Freecords B.V. grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial entertainment purposes.

3. USER ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility. To be eligible to use the Platform, you must:

• (a) Be at least 18 years old;
• (b) Have the legal capacity to enter into binding contracts;
• (c) Not be prohibited from using the Platform under applicable laws;
• (d) Comply with these Terms and all applicable laws.

3.2 Account Registration. To use the Platform, you must create an Account by:

• (a) Providing accurate, current, and complete information;
• (b) Creating secure login credentials;
• (c) Verifying your identity as required by Freecords B.V.;
• (d) Accepting these Terms.

3.3 Account Security. You are solely responsible for:

• (a) Maintaining the confidentiality of your login credentials;
• (b) All activities that occur under your Account;
• (c) Notifying Freecords B.V. immediately of any unauthorized use of your Account or other security breaches.

3.4 One Account Per User. Each User may maintain only one Account. Creating or operating multiple Accounts may result in the termination of all your Accounts and exclusion from the Platform.

3.5 Account Verification. Freecords B.V. reserves the right to request additional information to verify your identity at any time. Failure to provide such information may result in limited access to or termination of your Account.

4. ARTIST PARTICIPATION AND IP LICENSING STRUCTURE

4.1 Artist Representation. Artists on the Platform have entered into IP licensing agreements with Freecords B.V., under which they license their intellectual property, including their likeness, name, and related content, for representation on the Platform.

4.2 IP Licensing Structure. Artists grant Freecords B.V. the exclusive right to use their licensed intellectual property on the Platform. This license is:

• (a) Non-transferable except as necessary for Platform operations;
• (b) Limited to the purposes of creating, promoting, and trading Talents on the Platform;
• (c) Subject to the revenue distribution terms agreed between the Artist and Freecords B.V.

4.3 No Ownership Transfer. Artists retain ownership of their intellectual property rights but grant Freecords B.V. the right to use these rights on the Platform. Artists have no ownership stakes in themselves on the Platform.

4.4 Revenue Participation. Artists receive a portion of the trading fees generated from activities involving their Talents as IP licensing fees, not as profit distributions or ownership returns.

4.5 No Artist Liability. Artists bear no liability for Platform operations, Talent trading activities, or User interactions beyond their obligation to honor their IP licensing commitments to Freecords B.V.

9. DISCLAIMERS ABOUT NON-FINANCIAL NATURE

9.1 Entertainment Purpose. THE PLATFORM IS STRICTLY FOR ENTERTAINMENT PURPOSES ONLY. It is not intended to be used as a financial investment platform, securities exchange, or means of generating real-world financial returns.

9.2 No Investment Advice. Freecords B.V. does not provide investment advice. No communication from Freecords B.V. or content on the Platform should be considered investment advice. Users make all trading decisions at their own risk and based solely on their own judgment.

9.3 No Real-World Value. TALENTS, IN-APP GAME TOKENS, AND REWARDS HAVE NO REAL-WORLD VALUE. They are virtual items with value only within the confines of the Platform's entertainment ecosystem.

9.4 No Guarantees. Freecords B.V. makes no guarantees regarding:

• (a) The future value of any Talents within the Platform;
• (b) The liquidity of Talents on the Marketplace;
• (c) The continued availability of any particular Talent or Artist;
• (d) The ongoing operation of the Platform for any specific period.

9.5 Not a Financial Instrument. Talents are not stocks, securities, financial instruments, or investments. They do not represent ownership in Artists, their works, or Freecords B.V. Talents are entertainment products with no underlying financial assets or rights.

9.6 No Expectation of Profit. Users should have no expectation of profit from acquiring or trading Talents. Any Rewards received from Platform activities are gaming benefits, not financial returns.

9.7 Cryptocurrency-Only Economy. The Platform operates exclusively within the cryptocurrency ecosystem. All value entry and exit occurs through cryptocurrency transactions, not traditional fiat currency. This structure positions the Platform as a crypto-native gaming environment rather than a traditional financial service.
